To incorporate or not to incorporate

There are several reasons for incorporating

  • limited liability
  • income splitting
  • taking advantage of lower tax rates
  • need a payroll number and must remit payroll taxes in accordance with the tax laws


Reasons for being an unincorporated business

  • less expensive, you do not have to pay the cost to incorporate
  • no annual minutes, no minute book therefore less legal costs
  • annual accounting fees and tax return preparation is less costly
  • net income of owner is included in personal income tax return therefore if there are no employees you do not need to have a payroll number


If you are unincorporated, you do not have limited liability.  You should discuss incorporation vs being unincorporated with you lawyer and your accountant to determine what is best for you.
